END USER LICENSE AGREEMENT — CIRCUITMCP FOR ALTIUM

IMPORTANT: READ THIS AGREEMENT BEFORE INSTALLING THE SOFTWARE. BY INSTALLING OR
USING CIRCUITMCP FOR ALTIUM ("the Software") YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF
YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. LICENSE GRANT
Subject to your payment of the applicable fees and compliance with this
Agreement, Holley Brothers Design ("we", "us") grants you a non-exclusive,
non-transferable, revocable license to install and use the Software.

Your license key entitles you to a stated number of CONCURRENT SEATS. A seat
is consumed while a machine holds an active lease and is returned when that
machine shuts the Software down cleanly, releases its seat, or its lease
expires. You may install the Software on any number of machines provided the
number running it concurrently does not exceed your seat count.

2. LICENSE ENFORCEMENT AND OFFLINE USE
The Software contacts our license server to obtain and renew a lease. A
machine may operate without network access for the offline period stated in
its lease. When that period elapses, the Software stops performing design
operations until it can reach the license server again. This is a designed
behaviour of the licensing model, not a defect.

The Software transmits, for licensing purposes only: your license key, a
one-way hash identifying the machine, its hostname, and its operating-system
version. It does not transmit your designs, schematics, board files, or any
   other content.

3. RESTRICTIONS
   You may not: (a) circumvent, disable, or tamper with the licensing mechanism;
   (b) reverse engineer, decompile, or disassemble the Software except to the
   extent that applicable law expressly permits despite this limitation;
   (c) rent, lease, lend, resell, sublicense, or provide the Software as a
service to third parties; (d) remove or alter any proprietary notices; or
   (e) share your license key outside your organization.

4. OWNERSHIP
The Software is licensed, not sold. We retain all right, title, and interest
in the Software, including all intellectual property rights. You retain all
rights in the designs and files you create with it. We claim no ownership of,
and no license to, your design data.

5. THIRD-PARTY SOFTWARE
The Software interoperates with Altium Designer, which is not provided under
this Agreement. You are responsible for holding a valid Altium Designer
license. We are not affiliated with, endorsed by, or sponsored by Altium
Limited. "Altium" and "Altium Designer" are trademarks of Altium Limited and
are used here only to identify the software with which this product
interoperates. The Software includes open-source components; their licenses
are in the THIRD-PARTY-NOTICES file in the installation directory and, where
those licenses conflict with this Agreement, they govern their components.

6. SUPPORT AND UPDATES
Support and updates are provided as described in your purchase terms. We may
change the Software's features in any release.

7. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU ARE RESPONSIBLE FOR VERIFYING ALL DESIGN OUTPUT. The Software automates
operations on electronic design files, including operations that modify them
irreversibly. It may be driven by AI systems that can make mistakes. Review
every design and every manufacturing output before committing it to
fabrication, assembly, or production, and keep backups of your design data.

8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY
LOSS OF PROFITS, REVENUE, DATA, OR DESIGN WORK, OR THE COST OF SCRAPPED OR
REWORKED HARDWARE, ARISING OUT OF OR RELATED TO THE SOFTWARE. OUR TOTAL
AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN
THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the
limitation of certain damages, so some of the above may not apply to you.

9. TERM AND TERMINATION
This Agreement runs until terminated. It terminates automatically if you
breach it. We may also revoke a license key for non-payment or breach; the
Software will then stop operating at each machine's next lease renewal or at
the end of its current offline period. On termination you must stop using
   and uninstall the Software.

10. GOVERNING LAW
This Agreement is governed by the laws of the State of Oklahoma, United
States of America, without regard to its conflict-of-law rules.

11. ENTIRE AGREEMENT
This Agreement is the entire agreement between you and us regarding the
Software and supersedes all prior communications. If any provision is held
unenforceable, the remainder stays in effect.
